The name of the club shall be Mohawk Valley Corvette Club, Inc.
The general purpose of the club shall be to encourage planned trips, events and social activities for members of the Corvette owners club, to provide and regulate events and exhibitions for Corvette owners, and also to provide discounts to Corvette Club members when possible.
Membership in the club shall be restricted to owners of Corvettes and persons having confirmed orders on new Corvettes.
Active – any person having paid such annual dues and fees as required.
Honorary – any person having been voted in favor as such by majority of membership at a monthly meeting shall thereby be considered approved for honorary status.
Active - $25.00 annual membership fee ($5.00 initiation fee for new member – one time only to cover cost of club window decal); prorated for new members at $2.00 per month. The dues will be used to offset cost of newsletter, notices and/or telephone costs incurred for the purpose of promoting a club activity or function.
Dues shall be made payable to the Mohawk Valley Corvette Club and submitted by June 30 of the current year to be applied toward membership in the club for the upcoming year commencing July 1.
Active members are entitled to all club privileges.
Any member may be suspended by a majority vote of the club after three-fourths of the officers determine if suspension may be in order.
Any member may resign by directing a letter of resignation to the Secretary. His/Her resignation shall be effective upon receipt of such letter provided all indebtedness to the club is paid.
Monthly meetings will be held the last Wednesday of each month. Special meetings may be called by the President or a majority of the officers.
All actions including election of officers and amendment of the Bylaws shall be by the majority of those present voting.
The elected officers of the club shall be a President, Vice-President/Activities Chairman, Secretary and Treasurer. The officers shall each serve a one year term or until their successors are qualified and elected.
In the event that any of the aforementioned officers shall resign or become unable to hold office before the end of his/her elected term, the President shall appoint a member to fill the vacancy of said office for the remaining term.
Offices of Club Historian and Newsletter Editor are on a voluntary basis. For resignation see Article IV, Section 2.
The President shall preside at all meetings of the members and shall perform duties pertaining to this office. He may call special meetings of members under the provisions of Article III. He shall be the Chief Executive of the club.
In the absence of the President or in the case of his death, resignation or inability to act, the duties usually appertaining to that office shall be performed by the Vice-President. He shall also serve as Chairman of the Activities Committee and shall appoint other members of his committee as activities warrant.
The Secretary shall attend all meetings of the members and shall record all minutes and votes in a book kept for this purpose. He/She shall keep an up-to-date roll of all club members. He/She shall give all notices of meetings of the members required by these Bylaws and shall perform all duties incident to this office, required by the majority vote of the members. He/She shall have custody of all of the club’s records. In the absence of the Secretary from any of the said meetings, a Secretary pro tempore shall be chosen by the presiding officer.
The Treasurer shall, subject to such conditions and restrictions as may be made by the members, have custody of all monies, debts and obligations belonging to the club. He/She shall receive all monies of the club and deposit same in the club account(s). He/She shall make all payments of club debts upon approval of the officers. All contracts, drafts, notes or other orders for payment of money shall be signed in the name of the club by any two of the following officers: President, Vice-President and Treasurer. The Treasurer shall give a report on the financial status of the club at each monthly meeting. No obligation, debt or other liability shall be incurred by the Treasurer without the specific approval of the members.
The President shall appoint such committees as he finds desirable from time to time and shall outline the duties and responsibilities of such committees. All reports or action taken by a committee must be voted by majority of the entire committee.
In addition to the authority granted above, certain standing committees, as set forth shall be appointed annually by the Vice-President/Activities Chairman.
The activities of the club shall consist of planned trips, social gatherings, and events for Corvette owners as planned by the Activities Chairman, his/her committee and other members appointed by them. Said activities will be proposed before the group and upon acceptance noted in the club newsletter to inform all members at large. Final proposal shall then be voted on by ten or more active members present at the following monthly meeting. (See Article III, Section 2 – Voting.)
The fiscal year of the club shall be from July 1 to June 30.
All persons or corporations extending credit to, contracting with or having any claims against the club or officers, shall look only to the funds and property of the club for payment of any such contract or claim for payment of any debt, damage, judgment, or decree, or any other money that may otherwise become due to payable to them from the corporation or the officers; so that neither the members of the club, the officers, present and future, shall be liable personally therefore.
The officers of the club, or any ten active members in good standing by written proposals submitted to the Secretary may propose an amendment to the Bylaws. Upon such proposal being made, a copy thereof shall be included in the notice of the next monthly meeting of the members. Ballot voting shall be controlled by the same rules as set forth in Article IV, relating to the election of the officers. If any ten or more active members present at a monthly meeting vote in favor of a proposal, the proposed amendment shall thereby be considered approved and adopted.
Flowers will be furnished by the club for immediate family members only (member, husband or wife and children). All other funeral activities will be recognized by a card only.
